1. Contracting parties and acceptance
These Terms of Service form a binding agreement between the person or organisation accepting them (Customer, you or your) and the service operator identified in the applicable order, checkout record or invoice (BeltAxis, BeltLabs, we, us or our). BeltLabs is a product of BeltAxis. By creating an account, accepting an order, completing checkout or using the Service, you represent that you have legal capacity and authority to bind the Customer. If you do not accept these Terms, you must not access or use the Service.
2. Order of precedence and incorporated terms
These Terms, the applicable order or checkout record, our Privacy Policy, Refund Policy and any expressly executed data processing or service schedule comprise the Agreement. If they conflict, an individually executed order governs its commercial particulars, followed by an executed schedule, these Terms, the Refund Policy and the Privacy Policy. Paddle's buyer terms control payment processing, taxes, cancellation administration and refunds for transactions for which Paddle is merchant of record. Purchase-order terms supplied by Customer do not amend the Agreement unless we expressly sign them.
3. The Service and subscription licence
Subject to timely payment and compliance with the Agreement, we grant Customer a limited, non-exclusive, non-transferable and revocable right during the subscription term for its authorised users to access and use BeltLabs for Customer's internal business operations. The Service supports conveyor asset, work, inventory, document, field and related operational records. Rights not expressly granted are reserved. Customer must not treat access as a sale, transfer or delivery of software source code.
4. Customer administration and authorised users
Customer controls its workspace, users, roles, permissions, configuration and uploaded records. Customer is responsible for verifying each user's authority, removing access promptly when no longer required, maintaining accurate account information and safeguarding credentials and authentication factors. An action performed through a valid account is attributable to Customer unless Customer promptly reports compromise and establishes unauthorised use. Customer must notify support@beltaxis.com without undue delay of suspected compromise or misuse.
5. Customer responsibilities
Customer is solely responsible for implementation, migration, configuration, data quality, backup of exported records, staff training, operating procedures, regulatory compliance and all decisions or actions taken using Service outputs. Customer must obtain all notices, consents, licences and lawful bases required to upload or process Customer Data, including worker, contractor, client and site information. Customer must independently verify measurements, inspections, calculations, alerts, reports and exported records before relying on them.
6. Safety-critical and professional decisions
The Service is an administrative and operational record system and is not a safety control, emergency system, engineering authority, condition-monitoring guarantee or substitute for a competent person's inspection and judgement. It must not be used as the sole basis for isolation, energisation, shutdown, return-to-service, splice acceptance, statutory certification or any decision capable of causing death, injury, environmental harm or material property loss. Customer remains responsible for site procedures, legal duties, professional advice and physical verification.
7. Acceptable use
Customer and its users must not: violate law or third-party rights; upload unlawful, deceptive, infringing or malicious material; probe, bypass or interfere with security or access controls; obtain unauthorised access; introduce malware; overload or disrupt the Service; scrape or extract the Service at scale except through an authorised export or API; reverse engineer, decompile or attempt to derive source code except where a non-waivable law expressly permits it; rent, sublicense, resell or provide the Service as a bureau; use the Service or its non-public outputs to train or build a competing product; or assist another person to do any of those things.
8. Customer Data and licence
As between the parties, Customer retains its rights in data, files, photographs, records and other material submitted to the Service (Customer Data). Customer grants us and our sub-processors a worldwide, non-exclusive licence to host, copy, transmit, display, modify solely for technical formatting, and otherwise process Customer Data only as reasonably necessary to provide, secure, support and improve the operation of the Service, comply with law and enforce the Agreement. We do not acquire ownership of Customer Data and do not use Customer Data to train general-purpose machine-learning models.
9. Confidentiality
Each party must protect the other party's non-public information using at least reasonable care, use it only to perform or exercise rights under the Agreement, and disclose it only to personnel and service providers who need it and are bound by confidentiality duties. These restrictions do not apply to information lawfully known without restriction, independently developed, lawfully received from a third party or public through no breach. A compelled recipient may disclose information to the extent legally required and, where lawful, must give reasonable prior notice.
10. Privacy, security and sub-processors
Each party will comply with the data-protection obligations applicable to its role. Our Privacy Policy describes our handling of personal information. Where Customer is controller and we are processor, we process personal data on Customer's documented instructions as required to provide the Service, subject to the Agreement and any executed data-processing addendum. We may use sub-processors for hosting, databases, payments, email, identity, storage and operational delivery and remain responsible for their performance to the extent required by applicable law and contract.
11. Third-party services and integrations
Customer may elect to connect third-party products or accounts. Customer authorises the resulting exchange of data and is responsible for the third party's terms, configuration and permissions. Third-party services are controlled by their providers and may change, suspend access or become unavailable. Except to the extent caused by our breach, we are not responsible for third-party services, their data handling or the consequences of Customer's instructions to them.
12. Changes, maintenance and availability
We may update the Service to maintain security, legal compliance, performance or product usefulness. We will not materially reduce the core functionality of a paid plan during its then-current term without reasonable notice, except where necessary to address an urgent security, legal or third-party dependency issue. Maintenance, incidents, internet failures and dependencies may cause interruption. No service-level commitment, service credit, recovery objective or remedy for downtime applies unless stated in a separately executed service schedule.
13. Fees, Paddle and recurring billing
Subscription fees, billing interval, included capacity and currency are shown before checkout or in the order. Fees are charged in advance and recur until cancellation takes effect. We do not provide a free trial. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Paddle may collect transaction taxes and process payment information under its own terms. Customer authorises each recurring charge and must keep billing information current. Failed or reversed payment may result in suspension.
14. Price changes, cancellation and refunds
We may change renewal pricing on at least 30 days' notice. Customer may cancel through the billing controls or Paddle's buyer-support channel; cancellation prevents the next renewal and normally takes effect at the end of the paid term. Except where mandatory law or Paddle's controlling buyer terms require otherwise, payments are final, non-refundable and non-creditable, and unused time, users, sites, assets or capacity are not prorated. The Refund Policy is incorporated into the Agreement.
15. Suspension and termination
We may suspend access immediately where reasonably necessary to prevent security harm, unlawful use, material service disruption, sanctions exposure or continued non-payment. We may terminate for a material breach not cured within 10 days after notice, or immediately where the breach is incapable of cure, fraudulent or wilful. Customer may terminate for our uncured material breach after giving equivalent notice. Suspension or termination does not extinguish accrued payment obligations or provisions intended to survive.
16. Data export and deletion
Workspace owners may use available account controls to export supported operational data. Following cancellation, access ordinarily continues until the paid term ends and an export window may remain available for up to 30 days. Customer is responsible for completing and validating its export before deletion. A workspace scheduled for permanent deletion will be removed from active systems in accordance with the documented closure flow, subject to backup cycles and limited retention required for billing, security, fraud prevention, dispute resolution, legal compliance and establishment or defence of claims. Data cannot be recovered after irreversible deletion.
17. Our intellectual property and feedback
We and our licensors own the Service, software, interfaces, documentation, designs, trademarks, aggregated service metrics and all related intellectual-property rights. No implied licence is granted. If Customer provides ideas or feedback, Customer grants us a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate it without restriction or attribution, provided we do not identify Customer publicly without permission.
18. Warranties and disclaimers
We warrant that the Service will be provided with reasonable skill and care. To the maximum extent permitted by law, and subject to that express warranty, the Service and all outputs are provided as is and as available. We disclaim implied warranties, conditions and representations concerning merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, uninterrupted availability, error-free operation, data accuracy, regulatory compliance and results. Any statement about future functionality is informational and does not create a commitment.
19. Limitation of liability
To the maximum extent permitted by law, neither party is liable under or in connection with the Agreement for indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profit, revenue, production, contract, opportunity, goodwill, anticipated savings or data, whether direct or indirect. Our aggregate liability arising from all events in any rolling 12-month period will not exceed the subscription fees paid or payable for the affected Service during the 12 months immediately preceding the first event giving rise to liability. These limitations apply across all causes of action and do not limit liability that applicable law prohibits a party from limiting.
20. Indemnity
Customer will defend, indemnify and hold harmless us, our affiliates and personnel from third-party claims, losses, liabilities, penalties and reasonable legal costs arising from Customer Data; Customer's unlawful or unauthorised use of the Service; Customer's breach of sections 4 through 7; or an allegation that Customer Data infringes privacy, confidentiality or intellectual-property rights. We may participate with counsel of our choosing, and Customer may not settle a claim by admitting our fault, imposing obligations on us or restricting our operations without our written consent.
21. Governing terms and disputes
The governing law and forum are those stated in the applicable order or checkout record. If none is stated, the law and courts of the place where the service operator identified in the order is established apply, without regard to conflict-of-law rules. Before filing a claim, each party must give written notice describing the dispute and allow 30 days for good-faith resolution. This clause does not prevent urgent injunctive relief, debt recovery or use of a small-claims procedure, and it does not displace mandatory consumer rights or Paddle's buyer dispute terms.
22. General provisions
Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations. Customer may not assign the Agreement without our written consent; we may assign it in connection with a reorganisation, financing, merger, sale of business or transfer of the Service. If any provision is unenforceable it will be read down or severed to the minimum necessary. Failure to enforce is not waiver. The Agreement is the entire agreement on its subject and creates no partnership, agency, fiduciary duty or third-party beneficiary. Electronic notices and signatures are effective. Sections concerning payment, data exit, intellectual property, confidentiality, disclaimers, liability, indemnity and disputes survive termination.
23. Changes and contact
We may amend these Terms prospectively. We will provide reasonable advance notice of a material adverse change, except where an urgent legal or security change requires earlier effect. The version accepted for an order governs that term, subject to validly notified updates and mandatory law. Questions and legal notices may be sent to support@beltaxis.com. Notices to Customer may be sent to the workspace owner's registered email or displayed within the Service.
